BRIEF HISTORY

During its 25 years of existence ABASE developed, besides actions related to its statutory objectives for their associates, registered in the respective annual report of activities, many others in the political-institutional field supporting the SEBRAE System, always in partnership with National SEBRAE.

It is important to remember:

• The mobilization made at the Congress when the so-called "dismantle operation" promoted by the Federal Government in the late 80's, which withdrew resources from the Union Budget for the operation of the entire system. In practice, this decision meant the extinction of the CEBRAE System that, at the time, depended almost entirely of budgetary resources from the Federal Government for its operation. The mobilization undertaken, involving all states of the federation and National CEBRAE workers resulted in the restoration of the resources in the Union budget as well as its maintenance by the Government.

• The role of interlocutor agent from CEBRAE System in 1990, during the transformation of CEBRAE in Autonomous Social Service. The then ABACE exercised active lobbying at the Federal Government and the National Congress in shaping the current model - which involved the change from CEBRAE into SEBRAE and from the CEAG's into SEBRAE/UF - culminating in legitimize themselves as a member of the SEBRAE National Advisory Board, representing SEBRAE at the States.

• The mobilization made in 1998, when the vote on the Bill, of parliamentary initiative, which would transfer resources from the SEBRAE System for the Ministry of Health. Already being processed in emergency, the mobilization made by the organization resulted in the filing of the Project.

• The strong performance, in conjunction with National SEBRAE, on technical and political fields, both in the Executive Branch as in the Legislative Branch, to the processing and approval of Law No. 9,841 of 5 October 1999, which instituted the Microenterprise and Small Company Statute.

• With the installation of the Permanent Forum of Micro and Small Enterprises, derived from the Microenterprise and Small Company Statute (Sole Paragraph in Article 41 of Law No. 9,841, October 5 1999, and Article 24 of Decree No. 3,474 of May 19, 2000), ABASE, meeting the requirements in the Announcement for qualification, compose that collegiate as well as take part with two representatives on all committees of the Thematic Forum.

ABASE also:

• Had important role of dialogue/coordination among the business entities that represent micro and small enterprises, especially in relation to the National Movement of Micro and Small Enterprises - MONAMPE. Accordingly, with the support of National SEBRAE, has aided in the design and implementation of national events to examine issues related to this business segment. This approximation resulted in joint development, SEBRAE/ABASE/MONAMPE, of the document "SMALL BUSINESS AND DEVELOPMENT: proposals for public policies to reduce inequality and wealth generation”, delivered to all candidates in the presidential election in October 2002.

• In conjunction with the representative movement of small business, and with National SEBRAE, in 2002 coordinated the formulation of the Terms of Reference Program for Excellence in Business Leadership, designed to "empower current and potential business leaders of organizations committed to the representation of the segment of small businesses to expand their transforming influence capacity, targeting the growth of a favorable environment for economic, social and sustainable development of the country".

• Also in partnership with National SEBRAE, based in the Terms of Reference above, participated in 2002/2003, in the preparation of the Program for Excellence in Leadership - ELI. In 2003, there were performed two (2) transfers to the training of multipliers for the Program and made six (6) pilot classes: Goiânia and Itumbiara (GO), Cascavel (PR), Palmas (TO), Recife (PE) and Rio Claro (SP). In 2004, there were more than 60 courses throughout the country, with extremely positive results as testimonials collected from participants.

• In partnership with National SEBRAE have been deeply involved in implementing the Executives Development Program from SEBRAE System, in an unprecedented achievement in the System, built based on real needs and on the desired profile for the SEBRAE executive. The program was designed to run continuously and systematically by the Dom Cabral Foundation.

• Participation in the coordination of events held in October 2003 for discussion in all states, on Tax Reform and small business, opportunity in which suggestions were collected for the General Law of MPE.

• Participation in the Working Group set up under the National SEBRAE, which prepared the draft of the General Law Project of MPE.

• Participation, together with the legislative advice from National SEBRAE, on the constitution of the Brazilian Agency for Industrial Development - ABDI, which resulted in the submission of a proposal to the reporter of the matter, not changing the volume of resources devoted to the SEBRAE System.

• Preparation of a Terms of Reference to the Role of the SEBRAE System on Technological Innovation, paper delivered to the National Advisory Board - CDN SEBRAE. CDN, through its Chair, referred the matter to the Board of National SEBRAE to form a group consisting of Entities and bodies related to the subject, to present a conclusive proposal on the matter.

• Management of actions along National SEBRAE and CDN in order to expand the minimum level for 1,5 % from the passing of the Social Contribution for the SEBRAE/UF.

It should be emphasized, finally, that at this time after formed under the new model, the Executive Boards of ABASE, each one doing his own style, but within a prospect of continued and methodical growth of the actions undertaken by the Entity, always sought to provide it the conditions required for it's more effective performance. It is important to stress that ABASE has relied over this period on paths that are based on several strategic plans that are conducted biannually with the participation of all its members.

So then referenced each administration outlined its action plan in a sequenced way, within a process of secure and consistent improvement.

BASIC STRUCTURE

ABASE has the following basic structure:

The Council of Associates, a ABASE top deliberative agency, consists of three members from the Executive Board of all members. Its President is elected from among the Directors Superintendents of SEBRAE/UF, and has among others, the following important functions:

• Set guidelines for the work of the Entity;

• To elect and depose the President, the Audit Committee and Board members;

• Vote on the budget and accounts of each year;

• Establish the admission rates and the ordinary and extraordinary contributions of the members;

• Make decisions as it deems appropriate to fulfill the social goal of the organization.

The Audit committee is the supervisory body for the asset and financial management. It consists of three (3) full members and three (three) substitutes, elected by the Council of Members from all the Directors of SEBRAE/UF.

The Board is the representative and administrative body management. Elected by the Board of Associates it is comprised of one (1) CEO and five (5) Vice Presidents and substitute representatives of the North, Northeast, Midwest, Southeast and South. The Chairman of the Board is elected every two years by the Council of Members within the Directors of SEBRAE/UF, and the Vice-Presidents and substitutes elected from among all Directors of the SEBRAE/UF from their respective regions.

The Theme Committees are temporary structures, created by the Board with the responsibility to conduct studies of interest to the Entity.

The Executive Secretariat, the executive level of ABASE, performed by a professional functionally linked to the Entity, has as main objective to implement the work plan from the goals set by higher courts, advising the Board of Directors and Associates, and coordinate and implement the technical, administrative and financial activities.
